Terms of Service

These Terms of Service ("Terms") govern your access to and use of the FirstQuote website, applications, and services (collectively, the "Services") provided by FirstQuote, Inc. ("FirstQuote," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. The Services

FirstQuote provides AI-assisted sales automation for local service businesses. The Services ingest leads from third-party platforms you authorize (such as Yelp, Thumbtack, and Google Local Services Ads) and send replies to those leads on your behalf to help initiate sales conversations. Specific features, integrations, and limits may change over time.

2. Eligibility and accounts

You must be at least 18 years old and able to enter into a binding contract to use the Services. If you use the Services on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms, and "you" refers to both you and that entity.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at support@firstquote.ai of any unauthorized access or suspected security incident.

3. Customer content and integrations

"Customer Content" means the data, messages, lead records, business information, and other materials you or your authorized integrations submit to the Services. As between you and FirstQuote, you retain all rights in Customer Content. You grant FirstQuote a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display Customer Content solely as necessary to provide and improve the Services.

When you connect a third-party platform, you authorize FirstQuote to access that platform on your behalf and to act within the scope of the permissions you grant. You are responsible for complying with the terms of those third-party platforms, and we are not responsible for their availability, accuracy, or actions.

4. AI-generated replies

The Services use artificial intelligence to draft and send replies to leads on your behalf. AI output may be inaccurate, incomplete, or inappropriate for a given context. You are responsible for configuring the Services, reviewing AI behavior, and ensuring that replies sent on your behalf comply with applicable law and the terms of the platforms on which they are sent. FirstQuote does not guarantee any particular result, response rate, or sale.

5. Acceptable use

You agree not to:

• Use the Services to send unlawful, deceptive, harassing, or unsolicited communications, or to violate any anti-spam, telemarketing, or consumer-protection law (including TCPA, CAN-SPAM, and similar laws);
• Misrepresent your identity, your business, or the nature of a communication sent through the Services;
• Reverse engineer, decompile, or attempt to derive the source code or underlying models of the Services, except to the extent applicable law prohibits this restriction;
• Interfere with, disrupt, or attempt to gain unauthorized access to the Services, our infrastructure, or any connected third-party platform;
• Use the Services to build a competing product, or to scrape, mirror, or republish substantial portions of the Services;
• Upload viruses, malicious code, or content that infringes the rights of others.

6. Fees and payment

Paid plans are billed in advance on a recurring basis (monthly or annually) at the rates and terms shown at the time of purchase. Unless otherwise stated, fees are non-refundable, exclusive of taxes, and subject to change on prior notice. You authorize us and our payment processor to charge your designated payment method for all fees due. If a payment fails, we may suspend the Services until the balance is resolved.

7. Trials and beta features

We may offer free trials, evaluation access, or beta features. These are provided "as is," may be modified or discontinued at any time, and may be subject to additional terms. Beta features are not covered by any service-level commitment.

8. Suspension and termination

You may stop using the Services and cancel your account at any time through the dashboard or by contacting us. We may suspend or terminate your access to the Services if you breach these Terms, if your use creates risk or possible legal exposure for us or others, or if required by law. On termination, your right to use the Services ends, and we may delete Customer Content after a reasonable period unless retention is required by law.

9. Intellectual property

The Services, including all software, models, content, and trademarks (other than Customer Content), are owned by FirstQuote or its licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. We welcome feedback, and you grant us a perpetual, royalty-free license to use any feedback you provide without obligation to you.

10. Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the Services, you acknowledge that information will be processed as described there.

11. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. FirstQuote does not warrant that the Services will be uninterrupted, error-free, or secure, or that any AI-generated content will meet your requirements.

12. Limitation of liability

To the maximum extent permitted by law, FirstQuote and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with the Services, even if advised of the possibility of such damages. Our total cumulative liability for all claims relating to the Services will not exceed the greater of (a) the amounts you paid to FirstQuote for the Services in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

13. Indemnification

You will indemnify, defend, and hold harmless FirstQuote and its affiliates from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services, (b) your Customer Content, (c) communications sent on your behalf through the Services, or (d) your violation of these Terms or any applicable law or third-party right.

14. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Sacramento County, California, and you consent to the personal jurisdiction of those courts. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Services or by other reasonable means. Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms. The "Effective" date at the top of this page indicates when it was last revised.

16. Miscellaneous

These Terms, together with any order forms or supplemental terms referenced here, constitute the entire agreement between you and FirstQuote regarding the Services. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
